These Terms of Service ("Terms") are a binding agreement between XINGCHEN MANJING AI ENTERTAINMENT PTE. LTD. ("Xingchen Manjing", "we", "us", "our"), a private company limited by shares incorporated in Singapore (UEN 202628927K), and the business that registers for or uses LX_AdPilot ("Customer", "you"). They govern your use of LX_AdPilot, our advertising management platform, and our website at xmaient.com (together, the "Services"). By creating an account, connecting an advertising account or otherwise using the Services, you agree to these Terms. If you accept these Terms on behalf of a business, you confirm that you have authority to bind that business.

1. The Services

LX_AdPilot lets businesses connect their Meta (Facebook and Instagram) and TikTok advertising accounts and: create and manage campaigns, ad sets and ads; view performance reports such as spend, impressions, clicks and conversions; run automated rules that they configure, for example to create ads, adjust budgets, or pause and resume ads; and upload, manage and review creative assets. We may improve, change or discontinue features from time to time.

Our creative risk review, which may use automated or AI-based tools, is provided to help you identify potential policy or brand-safety issues. It is advisory only. It does not guarantee that an ad will be approved by Meta or TikTok, and you remain responsible for your ads.

7. Third-party platforms

Meta and TikTok are independent third parties, and your use of their services is governed by their own terms. Platform changes, API limits, outages, ad rejections, and account restrictions or suspensions are outside our control. We are not responsible for actions taken by these platforms, and we may need to change or suspend features if a platform changes its services or terms. LX_AdPilot is not endorsed by, or affiliated with, Meta or TikTok.

8. Fees

If you subscribe to a paid plan, the fees, billing period and payment terms are set out in your order or plan description. Fees are exclusive of taxes unless stated otherwise. We may suspend the Services if fees are not paid when due, after giving you notice.

9. Data protection

Our Privacy Policy explains how we handle personal data. When we process data from your advertising accounts, we do so on your behalf and on your instructions. You are responsible for having a lawful basis for, and giving any notices required for, personal data contained in your advertising accounts and creatives. Each party will protect the other's non-public business information that it receives in connection with the Services, and use it only to perform these Terms, except where disclosure is required by law.

13. Disclaimers

The Services are provided "as is" and "as available". To the extent permitted by law, we make no warranties of any kind, express or implied, and we do not guarantee any particular advertising results or performance, or uninterrupted availability of the Services.

14. Limitation of liability

To the maximum extent permitted by law: (a) neither party is liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, data or goodwill; and (b) our total liability arising out of or relating to the Services is limited to the greater of the fees you paid us for the Services in the twelve months before the event giving rise to the claim and one hundred Singapore dollars (S$100). These limits do not apply to your payment obligations or your indemnity obligations, and nothing in these Terms limits liability that cannot be limited by law.

15. Indemnity

You will indemnify and hold harmless Xingchen Manjing and its officers, employees and affiliates from claims, damages, losses and reasonable legal costs arising out of your ads, creatives or content, your use of the Services in breach of these Terms, or your breach of law or of the terms or policies of Meta or TikTok.

16. Governing law and jurisdiction

These Terms are governed by the laws of Singapore. The courts of Singapore have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Services.

17. Changes to these Terms

We may update these Terms from time to time. We will give notice of material changes through the Services or by email before they take effect. If you continue to use the Services after the changes take effect, you accept the updated Terms.

18. General

These Terms, together with any order form and our Privacy Policy, are the entire agreement between you and us regarding the Services. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition or sale of assets. If any provision is unenforceable, the remaining provisions stay in effect. Our failure to enforce a provision is not a waiver. Neither party is liable for delays caused by events beyond its reasonable control.
